PART VII - MISCELLANEOUS

Section 31. Offences by body corporate.

If a body corporate commits an offence under this Enactment-

(a) any person who, at the time of the commission of such offence, is a director, manager, secretary or other similar officer of such body corporate, may be charged severally or jointly in the same proceedings with the body corporate; and

(b) every such director, manager, secretary or other similar officer of such body corporate who was, in any may, by act or omission directly or indirectly, concerned in or party to the commission of the offence shall be deemed to have committed of that offence, unless he proves that the offence was committed without his knowledge or connivance or that he took all reasonable precautions or that he had exercised due diligence to prevent the commission of the offence.
