If the contempt of Court was committed by a body corporate, any person who at the time of the commission of the contempt was a director, manager or secretary of the corporation or other similar officer thereof responsible for the management of the corporation shall be deemed to be guilty of the contempt unless he proves that-
(a) the contempt was committed by the corporation without his consent or conmvance; or
(b) he has exercised all such diligepce to prevent the commission of the contempt as he ought to have exercised, having regard to the nature of his functions in that capacity and to all the circumstances.
