Where contempt of Court is committed by a body corporate, any person who at the time of the commission of such contempt is a director, manager or secretary of the body corporate or otherwise responsible for the management of the body corporate shall also be guilty of contempt unless he proves that—
(a) the contempt is committed by the body corporate without his consent or connivance; or
(b) he has exercised due diligence to prevent the commission of the contempt as he ought to have exercised, having regard to the nature of his office and function in that capacity and to all the circumstances.
