PART IV - INSTRUMENT OF THE BOARD OF MANAGEMENT
Rule 15. Meeting of the Board.
(1) The Instrument of the Board shall provide that —
(a) the Board shall meet at least four times a year;
(b) the Chairman of the Board shall preside over every meeting of the Board and if the Chairman is absent, the Deputy Chairman shall preside over the meeting;
(c) when the Chairman and Deputy Chairman are absent, the members present may elect anyone among those present to preside over the meeting;
(d) the number of members required to be present to constitute a quorum for a meeting of the Board shall be 8 persons;
(e) every decision of the Board shall be taken by the votes of the majority of the members present. In the case of an equality of votes, the Chairman or Deputy Chairman or the committee member of the Board presiding over the meeting shall have the casting vote;
(f) subject to these Rules, the Board may prescribe its own procedure for its meetings.
(2) The Instrument of the Board shall provide that the minutes of the Board meeting shall be submitted to the Registrar within one month of each meeting.
(3) The Instrument of the Board shall provide that the Secretary shall call for a meeting of the Board by giving at least seven days written notice to each member of the Board about the meeting and the Secretary may prescribe the agenda of the meeting.
